All, 

Kendall Johns has volunteered to fill Cliff's vacancy for the 
remainder of this term. 

Please either post to the list or reply to me privately about 
Kendall's candidacy if you have any comments.  I have received a 
couple of notes in the past month.  

According to the bylaws, I appoint replacements for board vacancies 
subject to BoD approval.  If we are to do this at the 1/17 meeting, we 
definitely need a quorum.

Section 6. Vacancies on the Board 
If the office of the immediate past president is vacant, it remains so 
until the next election. The vice president fills a vacancy in the 
office of president unless that office is also vacant, in which case 
the office is filled by a majority vote of the board of directors. If 
the offices of secretary, treasurer, and director are vacant, the 
president appoints replacements, subject to board approval. Vacancy 
appointments extend to the next annual elections and are not deemed a 
term of office as described in Section 5.
